Terms of Service

These Terms of Service ("Terms") govern your use of ParkUSA (the "Service"), a parking search, reservation and lot-listing platform. ParkUSA is provided by BMEC Services LLC ("we", "us", "our"). When you use the Service you are contracting with BMEC Services LLC.

1. Acceptance

By creating an account, making a reservation, listing a lot, or otherwise continuing to use the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility and accounts

You must be of legal age in your jurisdiction, and if you use the Service for a business you confirm you have authority to bind that organization. You must provide accurate information, keep it up to date, and keep your login credentials confidential. You are responsible for activity under your account.

3. The Service

Drivers can search for parking near a US destination and reserve spaces offered by independent lot operators. Lot operators can list spaces, set prices manually or with AI-assisted pricing suggestions, and choose a membership plan — a free plan, a paid plan, a custom Enterprise program, or a commission-only arrangement for large garages and professional operators. AI suggestions are estimates and may be inaccurate; operators remain responsible for the prices they publish.

4. Acceptable use

You must not misuse the Service, including by:

• using it for any unlawful purpose or in violation of any law;
• engaging in fraud, spam, or false or misleading listings or reservations;
• infringing anyone's intellectual property or other rights;
• interfering with security — introducing malware, probing or testing vulnerabilities, scraping, or overloading the Service;
• reverse engineering, reselling, or circumventing technical limits of the Service.

5. Intellectual property

We and our licensors retain all rights in the Service, including its software, documentation, content and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service in line with these Terms. You grant us a limited license to host and process content you submit (such as lot details and photos) solely to provide the Service.

6. Payments, subscriptions and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, taxes, subscription renewal, cancellation and refund mechanics are governed by Paddle's Buyer Terms. Reservations are charged per booking at the price shown before checkout. Paid membership plans are billed monthly at the price shown at checkout and renew automatically until cancelled. Free plans carry no monthly charge, and under a commission-only arrangement we earn only on the reservations we generate, at the share set in the operator agreement. 7. Service level

We work to keep the Service available and accurate, but we do not guarantee uninterrupted or error-free performance, or that any particular space will be available. Lots are operated by independent operators who are responsible for their facilities.

8. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. When access ends, you may request an export of your account data within 30 days, after which it may be deleted, subject to legal retention obligations.

9. Disclaimers and liability

To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose. We are not liable for indirect, consequential or special damages (including loss of profits, data or goodwill). Our total liability is limited to the fees you paid us in the 12 months before the claim. Nothing limits liability for fraud, death or personal injury where the law does not allow it.

10. Indemnity

You agree to indemnify BMEC Services LLC against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

11. General

These Terms are governed by the laws of the Commonwealth of Virginia, USA, and disputes will be resolved in its courts. You may not assign these Terms without our consent; we may assign them in connection with a merger or acquisition. Neither party is liable for delays caused by events beyond reasonable control. We may update these Terms and will post the new date above.
